Do I need to hold an AGM?

No. Under the Companies Act 2016, a Sdn Bhd doesn't need an annual general meeting unless its constitution says so. Most decisions can be made by written resolution.

My company isn't trading yet. Do I still need to file?

Yes. A dormant company still files its annual return and financial statements every year.

What if I miss a deadline?

SSM charges late fees, and can issue compounds to the company and its directors. Repeated failures can lead to the company being struck off. A company secretary who tracks your due dates is the easiest way to avoid this.
